WESTERN CAPE MAZDA MX-5 CLUB
This Constitution incorporates the Constitutions of the Club dated 2006-03-22, 2006-07-30 and 2013-12-22 as well as the Constitutional Amendments dated 2015-12-20 and the amendments accepted at the Annual General Meeting held on 2019-01-20.

The name of the Club shall be the “WESTERN CAPE MAZDA MX-5 CLUB”.
AIMS OF THE CLUB
To foster camaraderie between MX-5 owners, drivers and enthusiasts through social events and meetings.
To maintain the highest standards of operation and performance by sharing and exchanging mechanical information between Members.
To organise various social, sporting and competitive events, such as may be decided on by the Committee and Members.
To promote the very best relations with Mazda SA, other MX-5 Clubs and other Motoring Clubs to the mutual benefit of all parties.
To foster close Club spirit through social contact, offering help and advice to all Members.
To keep Members advised of all MX-5 Club activities through the publication of an Events Calendar on the Club's website together with personal notifications of upcoming events by e-mail.
To make available a range of MX-5 regalia such as caps, badges, shirts, jackets etc as required by Members.
To offer a “FOR SALE” and “WANTED” column for all Members via the Club's Website. This service will be free to Members with non-members requested to pay a nominal fee as determined by the Committee from time to time.
MEMBERSHIP
All owners, drivers and enthusiasts of the Mazda MX-5 are eligible for Membership.
Family members and friends of Members may attend Club functions as guests.
The Committee shall have the right to reject any application for Membership without disclosing the reasons therefore.
Each Member shall have ONE vote.
Membership is dependent upon the payment of the annual Club Membership fee and shall be for one (1) year, starting at the 1st March of every year and ending at the end of February of the following year.
Country Membership will be available to all who reside in excess of 100 (One Hundred) kilometers of the Cape Town Civic Centre. Such Members shall pay 50% of the annual Membership Fee as determined in Clause 4 below.
Honorary Membership may be conferred on individuals or organisations by a majority vote at an Annual General Meeting. Such Members shall not be liable for Membership fees, shall have a full vote and may serve on the Committee.
SUBSCRIPTIONS
The Club's Membership Fees shall be determined on an annual basis during an Annual General Meeting.
Such Club Membership Fees shall be payable in advance and on the following scale:
Persons joining the Club between 1st March and the end of August of every year will pay 100% of the Annual Membership Fees.
Persons joining the Club between the 1st September and the end of February of the following year will pay 50% of the Annual Membership Fees.
Subscriptions and all other revenue will be utilised in the interests of the Club as determined by the Committee.
All monies shall be paid into a banking account opened in the name of the Club.
Three (3) Committee Members — namely the Chairman, Secretary and Treasurer — shall have signing powers on the bank account. All payments to be authorised by the Treasurer as well as one other Committee Member; however, only one of these signatories will be necessary on any transaction and/or cheque. Electronic Banking is hereby authorised.
COMMITTEE
The Committee shall consist of: (i) Chairperson (ii) Secretary (iii) Treasurer (iv) Events Coordinator (v) as many additional Members as deemed necessary may be co-opted by the Committee.
A quorum shall be 3 (Three) Committee Members.
The Committee shall meet at least three (3) times annually.
The Committee shall be appointed at the forming of the Club (2006) and thereafter elected at the Annual General Meeting and shall hold office for one (1) year.
The Secretary shall call for nominations at the Annual General Meeting. All nominations to be seconded and the Nominee to consent to his/her nomination.
Members in good standing shall be eligible for election to the Committee.
MEETINGS
The Annual General Meeting (AGM) shall be held in December of every year.
The Secretary will notify all Members of the place, date and time of the AGM at least thirty (30) days prior to the event taking place.
All Members in good standing may vote.
There will be no quorum limitations on a duly notified AGM.
A Special General Meeting (SGM) or Extraordinary General Meeting (EGM) may be called by the Secretary in consultation with the Chairman or upon the written demand of five (5) Members. Notice of such a Meeting shall be given by the Secretary as per Clause 6.2 above.
DISCIPLINARY ACTION
Membership may be suspended or terminated by a majority decision of the Committee if it considers the conduct of a Member to be prejudicial to the interests of the Club. Such a disciplinary action may only be taken after a duly constituted Disciplinary Hearing has taken place.
CONSTITUTIONAL CHANGES
A two-thirds (67%) majority of Members attending any AGM, SGM or EGM is required to change this Constitution.
